Terms of Service

These Terms govern your access to and use of Mimosa Booking. By creating an account or using the platform, you agree to be bound by them.

1. Who we are

Mimosa Booking is operated by Mimosa Management, a Berlin-based studio building and operating booking systems, marketplaces, and community platforms (collectively "Mimosa", "we", "us"). The platform connects independent artists, promoters, and venues to coordinate tours and live events, and is provided as a tool — Mimosa is not a party to any booking contract concluded between users.

2. Eligibility & accounts

You must be at least 18 years old to create an account. You agree to:

  • Provide accurate, current information during signup and onboarding.
  • Keep your credentials confidential and notify us of any unauthorized access.
  • Use the platform in compliance with applicable laws and these Terms.

3. Roles on the platform

Each account is associated with a role — Artist, Promoter, or Venue — selected during signup. The features, permissions, and visibility of your profile depend on your role.

4. Bookings between users

Tour threads, dates, and arrangements coordinated through Mimosa are agreements between the users involved. Mimosa does not guarantee performances, payments, or attendance, and is not responsible for disputes that arise between users.

5. Acceptable use

You agree not to:

  • Impersonate another person or misrepresent your affiliation with any entity.
  • Post unlawful, defamatory, harassing, or infringing content.
  • Scrape, reverse-engineer, or attempt to disrupt the service.
  • Use the platform to send spam or unsolicited commercial messages.

6. Content & licenses

You retain ownership of the content you upload (photos, descriptions, recordings). By posting content, you grant Mimosa a worldwide, non-exclusive, royalty-free license to host, display, and distribute it as needed to operate the platform.

7. Fees

Core features are free during early access. Paid plans, booking fees, or transaction fees may be introduced in the future and will be communicated in advance. Mimosa Management currently operates under the small-business regulation pursuant to § 19 UStG and therefore does not charge German VAT; no VAT identification number under § 27 a UStG is issued at this time. Once a VAT ID is assigned, it will be published in the Imprint and applied to invoices going forward.

8. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms or that pose a risk to other users or the integrity of the platform.

9. Disclaimers

The platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Mimosa disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the extent permitted by law, Mimosa's total liability for any claim arising out of these Terms is limited to the fees you paid to Mimosa in the 12 months preceding the claim.

11. Governing law

These Terms are governed by the laws of Germany. The courts of Berlin have exclusive jurisdiction over disputes, subject to mandatory consumer protection rules where applicable.

12. Dispute resolution

Before pursuing formal proceedings, please contact us at legal@mimosa-management.com so we can try to resolve the matter directly.

The European Commission provides a platform for online dispute resolution (ODR), available at https://ec.europa.eu/consumers/odr. In accordance with § 36 VSBG, Mimosa Management is not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

13. Changes

We may update these Terms. Material changes will be communicated via the platform or email before they take effect. Continued use after the effective date constitutes acceptance.
